You acknowledge that you are receiving only a licensed right of use. You may not, directly or indirectly, nor may you permit any person or entity to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services; (b) create derivative works based on the Services; (c) use the Services, in whole or in part, for any purpose other than as expressly permitted in these Terms; or (d) disable or bypass any security or access control mechanisms related to the Services.
When creating an account with Teksands, you confirm that you are over 18 years old and that all information you provide is accurate, complete, and up-to-date. Providing inaccurate, incomplete, or outdated information may lead to the immediate termination of your account.
You are responsible for maintaining the confidentiality of your account and password, including limiting access to your device and account. Your username and password are for your use only and may not be shared. You agree to take responsibility for all activities that occur under your account and password, whether on our Services or a third-party service. If you become aware of any security breach or unauthorized use of your account, you must notify us immediately. Additionally, ensure you log out at the end of each session. Teksands is not liable for any loss or damage resulting from your failure to adhere to these Terms.
You may not use a username that belongs to another person or entity without proper authorization, nor may you use a name or trademark that is protected by another’s rights, or any name that is offensive, vulgar, or obscene. Your use of the Services and any content accessed through them must comply with all applicable laws and regulations.
By providing your email address and other contact details, you consent to Teksands using this information to send you Service-related notifications, including legally required notices, in place of postal mail. We may also use your contact details to inform you about changes to the Services or other information regarding our organization.
Certain areas of our Services allow users to submit, post, display, upload, or otherwise make available various types of content, including profile information, contact details, photos, comments, and questions. Any such materials that users submit, post, or upload on our Services are referred to as “User Content.” This may also include recordings of challenge participation to maintain assessment integrity, provide feedback, and support job-matching efforts. User Content may be visible to other users of the Services and on third-party websites, which means it may be treated as non-confidential and non-proprietary. All User Content shared publicly or privately on our Services is the sole responsibility of the individual from whom it originates, and you access all such information at your own risk.
Teksands does not claim ownership of User Content you create. Your User Content remains yours; however, if our Services allow others to view, edit, or share your User Content, by sharing it, you agree to let others view, edit, share, or interact with it according to the settings you choose and these Terms. We reserve the right (but are not obligated) to remove any User Content from the Services at our sole discretion.
By submitting, posting, or otherwise sharing any User Content on the Services, you grant Teksands a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list, edit, translate, distribute, publicly perform, publicly display, and create derivative works from such User Content, including any name, voice, or likeness contained in it. This license covers all forms, media, or technology, now known or later developed, for use in connection with our Services and Teksands’ business, including for promotion or redistribution in any media channels. You also grant each user of our Services a non-exclusive right to access and use your User Content as allowed by the functionality of the Services and under these Terms. You waive any moral rights in your User Content and confirm that these rights have not been asserted elsewhere. No compensation will be provided if we use your User Content or your name, likeness, or voice in connection with the Services.
For any User Content you share, you affirm, represent, and warrant that: (a) you have obtained written consent from every identifiable person in the User Content, if applicable, for the use of their name or likeness, and each person has released you from any liability associated with such use; (b) you have secured all necessary permissions as required by law for any third-party content included in your User Content; and (c) your User Content, as used within the Services, does not violate any law or infringe any third-party rights, including but not limited to intellectual property or privacy rights.
You affirm that all information provided to Teksands, including your User Content, is truthful and accurate to the best of your knowledge.
We reserve the right, at our discretion, to edit, reorganize, or delete any User Content and to place it in the most appropriate locations on the Services. Teksands is not responsible or liable for the accuracy, validity, completeness, quality, legality, or safety of any User Content posted or shared by users or third parties through the Services. You are solely responsible for your User Content and any consequences of sharing it, and you agree that Teksands acts only as a conduit for distributing and publishing User Content online. You understand that you may be exposed to content that is inaccurate, objectionable, or otherwise inappropriate, and you agree that Teksands will not be liable for any damages arising from or related to such content.
Although we reserve the right to review and remove content on the Services that violates these Terms, our Community Guidelines, or any applicable laws, we do not routinely review all posted content. We cannot guarantee the identity of users with whom you interact on the Services or control who accesses the Services.
If the Services allow interactions with other users, you are solely responsible for any such interactions. Teksands reserves the right, but is not obligated, to monitor any disputes between you and other users. We are not liable for interactions you may have with other users, nor for the actions or inactions of any user.
Some sections of the Services may permit you and/or other users to serve as voluntary moderators of User Content ("Moderators"). Teksands is not responsible for actions taken by Moderators. We reserve the right to limit or revoke your role as a Moderator at any time, with or without cause, including for any breach of these Terms.
By choosing to become a Moderator, you agree to: (a) adhere to the Moderation Handbook; (b) take necessary actions to remove or restrict User Content that violates these Terms, our Community Guidelines, or the Moderation Handbook, and escalate issues as required by those guidelines; (c) refrain from accepting any compensation from third parties for moderation activities; (d) maintain the confidentiality of any non-public information you may access as a Moderator; (e) avoid representing yourself as an official Teksands representative; and (f) not enter into agreements with third parties on behalf of Teksands.
We reserve the right, though not the obligation, to override any action or decision made by a Moderator if we determine, at our sole discretion, that it does not serve the interests of Teksands or the community.
When using the Services and any related features, you agree not to engage in the following prohibited activities: (a) copying, distributing, or disclosing any part of the Services through any means, including any automated or manual "scraping"; (b) using automated systems, such as "robots," "spiders," or "offline readers," to access the Services in a way that generates more requests to our servers than a person could reasonably produce using a standard web browser in the same timeframe; (c) transmitting spam, chain letters, or other forms of unsolicited messages; (d) attempting to disrupt, compromise, or tamper with system integrity or security, or deciphering transmissions to or from our servers; (e) taking actions that, at our discretion, place an unreasonable or excessive load on our infrastructure; (f) uploading or sending invalid data, viruses, worms, or other harmful software through the Services; (g) collecting or harvesting personally identifiable information, such as account names, from the Services; (h) impersonating others, misrepresenting your affiliation with an individual or organization, engaging in fraud, or hiding your identity; (i) interfering with the functionality of the Services; (j) accessing any content on the Services using unauthorized technology or means; or (k) bypassing any access control measures we implement, including those that restrict copying of content or enforce limitations on the use of the Services or content therein.
To uphold the integrity of Teksands assessments and ensure a fair, reliable process for all participants, the following guidelines generally apply (with occasional exceptions):
Preparation and Focus: Before beginning any challenge, close all non-Teksands browser tabs to maintain focus and ensure compliance with assessment requirements.
Permitted Resources: During the challenge, you may only reference syntax or API information from official documentation, language specifications, or standard libraries. Use of resources like ChatGPT, StackOverflow, forums, question banks, or any other external assistance is not permitted and is considered cheating.
Challenge Environment: Only the Teksands-provided challenge environment (IDE) is allowed for all coding and related tasks during the assessment.
Content Usage: Copying and pasting within the challenge environment is monitored to maintain fairness for all participants.
Monitoring and Privacy: Teksands reserves the right to monitor assessments and may share challenge recordings with clients to support job-matching efforts, in line with our Privacy Policy. If you would like a recording deleted, please contact [email protected], although note that this may impact job-matching opportunities.
Prohibited Actions: Any form of cheating, including obstructing or pausing video feeds, creating multiple Teksands accounts, impersonation, excessive tab switching, taking screenshots, receiving unauthorized assistance, or similar actions that undermine assessment integrity, will lead to immediate corrective actions, which may include temporary or permanent bans from the platform.
By following these guidelines, you help maintain a fair, trusted assessment process within the Teksands community.
You agree not to post User Content that: (a) poses a risk of harm, loss, or injury to yourself, others, or animals; (b) risks any other loss or damage to individuals or property; (c) seeks to harm or exploit children by exposing them to inappropriate content or soliciting personal information; (d) could contribute to a crime or tort; (e) includes content deemed by us to be unlawful, harmful, abusive, offensive, defamatory, privacy-infringing, harassing, humiliating, threatening, obscene, or otherwise objectionable; (f) contains any illegal information (such as insider information or trade secrets); (g) shares information you do not have the right to disclose under law or agreements; (h) disparages or otherwise harms Teksands or its Services in any way, or (i) is knowingly false or outdated. We reserve the right, but are not obligated, to reject or remove any User Content that, in our judgment, violates these guidelines.
At Teksands, we are committed to continuously enhancing and improving our Services. As part of this ongoing development, we may introduce new features, products, or functionalities, or choose to remove or discontinue existing ones, either partially or entirely. Additionally, we may impose limits on certain features or restrict access to specific services. These changes can be made at our discretion and without prior notice to you.
As part of the Services, you may have the option to link your Teksands account with third-party services (each referred to as a "Third-Party Provider Account") by either (a) providing login credentials for your Third-Party Provider Account via our Services or (b) granting us access to your Third-Party Provider Account. You affirm that you have the right to disclose your login details and/or allow us access to your Third-Party Provider Account without violating the terms and conditions of the applicable Third-Party Provider Account, and without obligating us to pay any fees or adhere to any usage restrictions set by the third-party service provider.
By granting us access to your Third-Party Provider Accounts, you acknowledge and agree that (i) we may access, display, and store (where applicable) any content you have uploaded or stored in your Third-Party Provider Account (the "Social Media Content"), making it accessible through our Services, including any friend or connection lists, and (ii) we may exchange additional information with your Third-Party Provider Account as part of the linking process, as notified to you during the connection. Depending on the Third-Party Provider Account and your privacy settings, personal data you post to such accounts may be visible through your Teksands account.
Please note, if a Third-Party Provider Account or associated service becomes unavailable, or if our access is revoked by the third-party provider, any Social Media Content linked to that account may no longer be accessible through the Services. You can disconnect your Third-Party Provider Accounts from your Teksands account at any time.
It is important to understand that your interactions with third-party providers are solely governed by the terms you have agreed to with them. Teksands does not review Social Media Content for accuracy, legality, or compliance, and is not responsible for any content from these third-party accounts. We may also access your email contacts or the contacts list on your mobile device or tablet to identify users who are also registered on our Services, but only for this purpose.
To deactivate the link between your account and any Third-Party Provider Account, you can either contact us using the details below or adjust your settings within your account.
You acknowledge that all intellectual property rights related to or used in connection with the Services, including their original content, features, and functionality, are and will remain the exclusive property of Teksands and its licensors. You agree not to dispute, challenge, or take any action that conflicts with the ownership of such rights by Teksands or its licensors, even after the termination of any license granted to you. The Services are protected by copyright, trademark, and other intellectual property laws, both within the United States and internationally. Our trademarks and trade dress may not be used in connection with any product or service without obtaining prior written consent from Teksands.
If you provide any ideas, proposals, suggestions, or other materials ("Feedback") to us, whether related to the Services or otherwise, you acknowledge and agree that such Feedback is not confidential, unsolicited, and provided without any obligation or expectation of compensation. We are free to use such Feedback at our discretion, without any restriction or obligation to you.
Our Services may include links to third-party websites or services that are not owned or controlled by Teksands.
Teksands does not control, and is not responsible for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or guarantee the offerings of these third parties or their websites.
You acknowledge and agree that Teksands will not be liable, directly or indirectly, for any damage or loss caused or allegedly caused by or in connection with the use of, or reliance on, any content, goods, or services available on or through such third-party websites or services.
We strongly recommend that you review the terms and conditions and privacy policies of any third-party websites or services you visit.
Teksands reserves the right to terminate or suspend your account and restrict access to the Services immediately, at our sole discretion, for any reason, including but not limited to a breach of these Terms. This action may be taken without prior notice or liability. In the event of account termination or cancellation, we may permanently delete any User Content associated with your account from our Services.
If you wish to terminate your account, you may simply stop using the Services.
All provisions of these Terms that, by their nature, should survive termination will continue to apply, including but not limited to ownership rights, warranty disclaimers, indemnification, and limitations of liability.
To the fullest extent allowed by applicable law, you agree to defend, indemnify, and hold harmless Teksands, its licensors, licensees, and their respective employees, contractors, agents, officers, and directors from any and all claims, actions, settlements, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from or related to: (a) your use of or access to the Service, whether by you or any individual using your account and password, (b) your User Content, (c) your infringement of third-party rights, including intellectual property rights, (d) any harmful act toward another user of the Services with whom you connected, or (e) any breach of these Terms.
Notwithstanding the above, Teksands reserves the right, at your expense, to take exclusive control of the defense and management of any claim for which you are obligated to indemnify us. You agree to cooperate fully with our defense of such claims, at your own expense. We will make reasonable efforts to notify you of any claim, action, or proceeding that is subject to this indemnification upon becoming aware of it.
EXCEPT AS REQUIRED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL TEKSANDS, OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY (A) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (II) ANY CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES ON OR THROUGH THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR MAXIMUM LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE SERVICES OR ARISING FROM THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS. THE PRESENCE OF MULTIPLE CLAIMS WILL NOT INCREASE OUR LIABILITY.

TEKSANDS, ITS AFFILIATES, SUBSIDIARIES, AND LICENSORS DO NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY SPECIFIC TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE OUTCOME OF USING THE SERVICES WILL MEET YOUR EXPECTATIONS.
These Terms represent the complete agreement between you and Teksands, covering the subject matter discussed herein, and supersede any prior agreements, understandings, negotiations, or discussions, whether oral or written. These Terms cannot be modified by you and may only be amended by us as outlined above.
You may not assign or sublicense any of your rights or obligations under these Terms without obtaining our prior written consent. Any assignment made in violation of this provision will be deemed null and void.
All rights not expressly granted to you in these Terms are reserved by Teksands and our licensors.
Our failure to enforce any provision of these Terms at any time will not be interpreted as a waiver of our rights, nor will it affect the validity of any part of these Terms, nor prevent us from taking further action. The section headings provided are for convenience only and are not intended to alter or influence the interpretation of the terms and conditions contained in these Terms.
No joint venture, partnership, employment, or agency relationship is created between you and Teksands as a result of these Terms or your use of the Services.
These Terms will not be construed against Teksands as the drafter.
You waive any and all defenses based on the electronic format of these Terms and the lack of physical signatures to execute them.
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable to any extent, that provision will be severed, and the remaining provisions will continue to be valid to the fullest extent permitted by law.
A printed version of these Terms and any notice provided electronically will be admissible in judicial or administrative proceedings to the same extent as other business documents and records that were originally printed.
